Vidal Terms of Service
Effective date: October 14, 2026 Version: 2026-10.1 Applies to: app.vidalfit.com and the Vidal web application.
1. About these Terms
These Terms of Service ("Terms") are a contract between you and [legal entity], a [entity form] organised under the laws of [state of formation], with a mailing address at [mailing address] ("Vidal", "we" or "us"). They govern your use of the Vidal application and related services (the "Service").
By creating an account, accepting these Terms in the app, or using the Service, you agree to these Terms. Our Privacy Policy and Consumer Health Data Privacy Policy explain how we handle personal information. If you do not agree to these Terms, do not use the Service.
2. Not medical advice
Vidal is not a medical provider. We do not diagnose, treat or prescribe, and we do not practise medicine or any other licensed health profession. Content in the Service, including plans, AI output and anything a coach provides, is for general information and coaching purposes only. It is not medical advice and is not a substitute for care from a qualified clinician. Talk to a clinician before starting a new diet, exercise program, supplement or peptide, or changing any medication. Do not delay or ignore medical advice because of something in the Service.
Not an emergency service. The Service is not monitored for emergencies. If you are in crisis or have a medical emergency, call your local emergency number. In the United States you can call or text 988 to reach the Suicide and Crisis Lifeline. Some features may show crisis resources or alert your coach, but you should not rely on them.
Not a medical record. Information in the Service is what users choose to record. It is not a clinical record.
Peptides. Your coach cannot prescribe through the Service. Many peptides are not approved by the FDA. Talk to a licensed prescriber before you start, stop or change one.
3. Eligibility and accounts
You must be at least 18 years old to use the Service. You may not create an account for, or allow use of your account by, anyone under 18.
You must give accurate information and keep it current. Accounts are personal. Keep your login details secure, and do not share your account. You are responsible for activity under your account. Tell us promptly at support@vidalfit.com if you believe your account has been compromised. We may require additional security steps, such as a second authentication factor.
4. Coaches and coaching companies
We provide software. Your coaching company provides coaching. Coaches and coaching companies are independent of us. They are not our employees, agents or partners, and we do not review, endorse or supervise their advice. Your coaching relationship, including fees, refunds and cancellation, is governed by your separate agreement with your coaching company. We are not responsible for the conduct or advice of any coach or coaching company.
If you are a coach or coaching company, you are responsible for:
- the conduct of your coaches and staff in the Service;
- holding any licences and qualifications your work requires;
- your agreements with, and obligations to, your clients;
- obtaining any consents your clients owe you beyond those collected in the Service;
- the accuracy of what your people record;
- recording a dose, route, frequency or cycle on a peptide protocol only when a licensed prescriber has prescribed it, and recording that prescriber accurately;
- stopping use of material within 30 days after a client revokes a media release; and
- complying with all laws that apply to you, including health privacy laws.
Do not use the Service to store information that is regulated by HIPAA unless we have signed a written agreement with you that allows it.
5. Fees and payments
No money moves in Vidal. The Service currently does not charge users and cannot take a real payment. Some billing screens may show sample figures or use a payment provider's test mode. If your coaching company charges you for coaching, that happens outside the Service under your agreement with them.
We may introduce fees in the future. If we do, we will tell you first, and you will not be charged unless you agree.
6. Your content
You own your content. "Your content" means anything you write, record, photograph or upload to the Service. We do not claim ownership of it.
Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, process, adapt and create derivative works of your content as needed to provide, operate, secure, personalise and improve the Service, to develop new features, and to create de-identified or aggregated data, as described in our Privacy Policy. This includes making your content available to the people entitled to see it in the Service and to our service providers. We may use de-identified or aggregated data for any purpose.
Public use. We use your photos, name or words in marketing only if you sign a media release for that use.
Your responsibilities. You must have the right to upload your content. Do not upload content that is unlawful, infringes anyone's rights, contains another person's health information without their permission, or contains malicious code. We do not have to review content, but we may remove content that we believe breaks these Terms or the law.
Feedback. If you send us ideas or feedback, we may use them without any obligation to you.
7. Acceptable use
Do not:
- access or try to access another person's account or data;
- probe, scan or test the security of the Service, or bypass any security, rate limit or access control, without our written permission;
- scrape, crawl or bulk extract data from the Service by automated means, or use it to build a competing product, dataset or model, except for exporting your own data through the features we provide;
- upload malicious code, or disrupt or overload the Service;
- harass, threaten, defraud or impersonate anyone;
- use the Service for anything unlawful, or in a way that needs a licence you do not hold;
- resell, sublicense or provide the Service to others, or copy, decompile or reverse engineer it, except where the law allows; or
- remove or obscure any ownership notice.
We may investigate and take action, including removing content or suspending or closing accounts, if we believe you have broken these Terms.
8. AI features
The Service includes features that use artificial intelligence, such as drafting replies for coaches, an in app assistant, transcription, reading food photos and labels, photo reviews, summaries and suggestions. AI output is generated automatically and may be inaccurate, incomplete or inappropriate. Some AI output reaches you without being reviewed by a coach. AI output is not medical advice. Check it before relying on it, and use your own judgement. You are responsible for how you use AI output. When you use AI features, your content is processed by us and our AI providers as described in our Privacy Policy.
9. Our intellectual property
The Service, including its software, design, content we create, names and logos, belongs to us and our licensors. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. We reserve all rights not expressly granted.
10. Third party services
The Service works with third party services, such as Zoom, Google and payment providers. Your use of those services is governed by their own terms. We are not responsible for third party services.
11. Changes to the Service
We may change, suspend or discontinue any part of the Service at any time. The Service may be unavailable from time to time, and we do not promise it will be available at any particular time.
12. Ending it
You may stop using the Service at any time. Clients can delete their account in the app. Coaches and company members can ask us to close their account at privacy@vidalfit.com. An account that owns a coaching company may need to transfer ownership before it can be deleted.
We may suspend or end your access to the Service at any time, including if you break these Terms, if the law requires it, or if your coaching company's use of the Service ends.
Sections 6 (to the extent needed for content already processed and records we keep), 9 and 13 to 17, and any other terms that by their nature should survive, survive the end of these Terms.
13. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error free, that defects will be corrected, or that any content or result will be accurate or reliable.
We make no promise about health or fitness outcomes. We are not responsible for the coaching you receive or for content provided by other users, including coaches and coaching companies.
Some laws do not allow certain warranties to be excluded. Where that is the case, these exclusions apply only as far as the law allows.
14. Limitation of liability
To the fullest extent the law allows:
- No indirect damages. We and our officers, directors, employees, agents and suppliers are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or relating to the Service or these Terms, even if we were told they were possible.
- Cap. Our total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or 100 United States dollars.
- All theories. These limits apply whatever the legal theory, including contract, warranty, tort, negligence, strict liability or statute.
These limits do not apply to liability for fraud, gross negligence, wilful misconduct, death or personal injury caused by our negligence, or anything else that the law that applies to you does not allow a contract to limit.
New Jersey residents. Sections 14 and 15 do not limit any right or remedy you have under the New Jersey Consumer Fraud Act, the Punitive Damages Act or the Products Liability Act.
15. Indemnity
You agree to defend, indemnify and hold harmless [legal entity] and its officers, directors, employees and agents from any third party claim, and any related loss, liability or expense, including reasonable legal fees, arising out of your content, your breach of these Terms, your violation of any law, or your violation of anyone else's rights. If you are a client, this applies only to content you uploaded knowing you had no right to, and to your intentional or unlawful misuse of the Service.
If you are a coaching company, this also covers claims arising out of the coaching you provide, your coaches' advice, your agreements with your clients, and your handling of client information.
16. Governing law and disputes
These Terms, and any dispute arising out of them or the Service, are governed by the laws of [state of formation], without regard to its conflict of laws rules.
If you use the Service as a client, you may bring a claim in the state or federal courts where you live or in the courts of [state of formation]. If you use the Service for a coaching business, the state and federal courts located in [state of formation] have exclusive jurisdiction, and you consent to their personal jurisdiction. Either party may bring a qualifying claim in small claims court, or seek an injunction to protect intellectual property or confidential information in any court. You keep any protection of the consumer laws of the state where you live that cannot be waived by contract.
Before starting formal proceedings, you and we each agree to try to resolve the dispute informally for 30 days, starting when one side sends written notice to the other. Notices to us go to support@vidalfit.com.
17. General
Changes to these Terms. We may update these Terms. We will post the updated version and change the effective date. If a change is material, we will give you notice in the app or by email before it takes effect. If you keep using the Service after the change takes effect, you accept the updated Terms, except where we ask for your express agreement. A change does not apply to a dispute that arose before it was posted.
Notices. We may send notices to the email address on your account or in the app.
Assignment. You may not transfer these Terms. We may transfer them, including in connection with a merger, acquisition or sale of assets.
Entire agreement. These Terms, together with the policies they refer to, are the entire agreement between you and us about the Service. They do not replace your separate agreement with your coaching company.
Other terms. If we do not enforce a term, we have not waived it. If any term is unenforceable, it will be limited or removed to the minimum extent needed, and the rest stays in force. Neither party is liable for delays or failures caused by events beyond its reasonable control. There are no third party beneficiaries of these Terms, except the people named in sections 14 and 15. You may not use the Service if you are barred from doing so under United States law. The Service is intended for use in the United States.
